END-USER LICENSE AGREEMENT (EULA) for Pure Plate This End-User License Agreement ("EULA") is a legal agreement between you ("End-User" or "you") and StarBoundLogic LLC, a company registered at 600 1st Ave Ste 102 PMB 2295 Seattle, WA 98104 ("Developer" or "we") for the use of the Pure Plate mobile application ("Licensed Application") on Apple-branded products. PLEASE READ THIS EULA CAREFULLY BEFORE DOWNLOADING OR USING THE PURE PLATE APP. BY DOWNLOADING, INSTALLING, OR USING THE APP, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE TO THE TERMS OF THIS EULA, DO NOT DOWNLOAD, INSTALL, OR USE THE APP. 1. Acknowledgement - You and the End-User acknowledge that this EULA is concluded solely between you and the End-User, and not with Apple Inc. ("Apple"). You are solely responsible for the Licensed Application and its content. - This EULA must not conflict with the Apple Media Services Terms and Conditions as of the Effective Date, which you acknowledge you have had the opportunity to review. 2. Scope of License - The license granted to the End-User is non-transferable and limited to the use of the Licensed Application on Apple-branded products owned or controlled by the End-User. - Usage of the Licensed Application must comply with the Apple Media Services Terms and Conditions. - Family Sharing or volume purchasing may allow access and use of the Licensed Application by other accounts associated with the purchaser. 3. Maintenance and Support - Developer is solely responsible for providing maintenance and support services as specified in this EULA or as required by applicable law. - Apple has no obligation to furnish any maintenance and support services for the Licensed Application. 4. Warranty - Developer makes no warranties or representations regarding the performance or suitability of the Licensed Application, and any use of the app is at the End-User's own risk. - TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSED APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. DEVELOPER EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. - Developer is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. - In the event of a failure of the Licensed Application to conform to any applicable warranty, End-Users may notify Apple, and Apple will refund the purchase price. Apple has no other warranty obligations. - Any claims, losses, liabilities, damages, costs, or expenses due to warranty issues are Developer's responsibility to resolve. 5. Product Claims - Developer is not responsible for any claims of the End-User or third parties related to the Licensed Application or its use. - To the fullest extent permitted by applicable law, Developer hereby disclaims all liability for any claims, losses, liabilities, damages, costs, or expenses arising from or in connection with the Licensed Application. - End-Users are solely responsible for any issues or damages caused by their use of the Licensed Application. 6. Intellectual Property Rights - Developer is solely responsible for investigating, defending, settling, and discharging any third-party claims of intellectual property infringement related to the Licensed Application. 7. Legal Compliance - End-User represents and warrants that they are not located in a U.S. Government embargoed country or designated as a "terrorist supporting" entity. - End-User is not listed on any U.S. Government list of prohibited or restricted parties. 8. Third-Party Terms of Agreement - End-Users must comply with applicable third-party terms of agreement when using the Pure Plate application. For example, if the End-User has a VoIP application, they must not violate their wireless data service agreement when using Pure Plate. 10. Third-Party Beneficiary - You and the End-User acknowledge that Apple and its subsidiaries are third-party beneficiaries of this EULA. - Upon the End-User's acceptance of the EULA, Apple has the right to enforce this EULA against the End-User as a third-party beneficiary thereof.
